🧾 オンライン自習室 利用規約

本利用規約（以下「本規約」といいます。）は、株式会社しのだ（以下「当社」といいます。）が運営するオンライン自習室サービス（以下「本サービス」といいます。）の利用条件を定めるものです。
本サービスをご利用いただく際は、本規約に同意いただいたものとみなします。

第1条（本サービスの内容）

  1. 本サービスは、会員がインターネットを通じて、Zoom等のオンライン会議システムを用い、自習・学習支援・面談等を行うためのオンライン環境を提供するものです。
  2. 本サービスの具体的内容、提供時間、料金等は、当社ウェブサイトに定める通りとします。

第2条（会員登録）

  1. 本サービスの利用を希望する者は、当社が指定する方法により会員登録を行い、登録が完了した時点で会員（以下「会員」といいます。）となります。
  2. 会員登録の際に虚偽の情報を申告した場合、または登録内容に変更が生じたにもかかわらず速やかに届け出ない場合、当社は会員登録を取り消すことができます。

第3条（利用料金・支払い方法）

  1. 会員は、当社が定める月額利用料を、指定の決済方法（クレジットカード、PayPal等）により支払うものとします。
  2. 支払済みの料金は、途中解約・退会・利用停止の場合でも返金いたしません。
  3. 月額利用料は、契約期間満了前に会員が解約手続きを行わない限り、自動的に更新されます。

第4条（利用制限）

  1. 会員は、月ごとに定められた利用回数（例：5回／月）を超えて自習室・相談サービスを利用することはできません。
  2. 当社は、会員が以下のいずれかに該当する場合、事前の通知なく本サービスの全部または一部の利用を制限または停止することができます。
    • 本規約に違反した場合
    • 不正アクセス、迷惑行為、他の会員への妨害を行った場合
    • その他、当社が不適切と判断した場合

第5条（禁止事項）

会員は、以下の行為を行ってはなりません。

  1. 他の会員または当社スタッフへの誹謗中傷・いやがらせ行為
  2. Zoom会議室のURLを第三者に共有する行為
  3. 無断録画・録音・スクリーンショットの取得
  4. 営利目的での勧誘・宣伝行為
  5. サービス運営を妨害する行為、その他法令に違反する行為

第6条（サービスの変更・中断）

  1. 当社は、システム保守、天災、通信障害、その他やむを得ない事由により、会員に通知することなく本サービスの全部または一部を変更・中断することがあります。
  2. 当社は、これにより会員に生じた損害について、一切の責任を負いません。

第7条（免責事項）

  1. 本サービスは、学習効果を保証するものではありません。
  2. 当社は、通信環境・端末機器・ソフトウェアの不具合により発生した損害について、一切の責任を負いません。
  3. 当社は、会員間または会員と第三者との間で生じたトラブルについて、一切関与いたしません。

第8条（知的財産権）

本サービス内で提供される映像、音声、テキスト、資料、プログラム等の著作権その他一切の権利は、当社または正当な権利者に帰属します。

第9条（退会・契約終了）

  1. 会員は、当社所定の方法で退会手続きを行うことにより、いつでも退会できます。
  2. 退会後も、既に支払われた利用料の返金は行いません。

第10条（個人情報の取扱い）

当社は、会員の個人情報を「プライバシーポリシー」に従って適切に管理します。

第11条（本規約の変更）

当社は、必要に応じて本規約を変更できるものとします。変更後の内容は、当社ウェブサイトに掲載した時点で効力を生じるものとします。

第12条（準拠法・管轄）

本規約の解釈にあたっては、日本法を準拠法とします。
本サービスに関して紛争が生じた場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

📘 Terms of Service for the Online Study Room

These Terms of Service (“Terms”) set forth the conditions for using the Online Study Room (“the Service”) operated by Shinoda Inc. (“the Company”).
By using this Service, you agree to be bound by these Terms.

Article 1 (Description of the Service)

  1. The Service provides an online environment where registered members (“Members”) can study independently, receive study support, and participate in consultations through Zoom or other online meeting platforms.
  2. The specific contents, available hours, and fees of the Service are defined on the Company’s website.

Article 2 (Membership Registration)

  1. Individuals who wish to use the Service must complete the registration process prescribed by the Company. Registration is considered complete once the Company confirms it.
  2. If false information is provided during registration, or if a Member fails to update registration details when changes occur, the Company may suspend or cancel the membership.

Article 3 (Fees and Payment)

  1. Members shall pay the monthly fee specified by the Company via the designated payment method (such as credit card or PayPal).
  2. Fees already paid will not be refunded under any circumstances, including cancellation, withdrawal, or suspension of use.
  3. Membership renews automatically each month unless the Member cancels before the renewal date.

Article 4 (Usage Limitations)

  4. Conducting sales, solicitation, or promotional activities within the Service
  5. Any act that interferes with the operation of the Service or violates laws and regulations

Article 6 (Service Modification or Suspension)

  1. The Company may change, suspend, or discontinue all or part of the Service without prior notice due to system maintenance, natural disasters, communication failures, or other unavoidable circumstances.
  2. The Company shall not be liable for any damages incurred by Members due to such suspension or modification.

Article 7 (Disclaimer)

  1. The Service does not guarantee any particular academic or learning results.
  2. The Company shall not be responsible for any damages caused by internet connection issues, device malfunctions, or software errors.
  3. The Company shall not be involved in any disputes arising between Members or between a Member and a third party.

Article 8 (Intellectual Property Rights)

All text, images, audio, video, materials, and software provided through the Service are the intellectual property of the Company or rightful owners. Unauthorized reproduction or use is prohibited.

Article 9 (Withdrawal and Termination)

  1. Members may withdraw from the Service at any time by following the Company’s prescribed withdrawal procedure.
  2. No refunds will be issued for fees already paid, even after withdrawal.

Article 10 (Handling of Personal Information)

The Company will handle personal information of Members appropriately in accordance with its Privacy Policy.

Article 11 (Amendments to These Terms)

The Company may revise these Terms as necessary. The revised Terms shall become effective when published on the Company’s website.

Article 12 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan.
Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
